1. Your Agreement
1.1 The BookMyCoffeeChat platform, accessible via bookmycoffeechat.com (the “Platform”), is operated by Huntarmpeople Limited (“BookMyCoffeeChat,” “we,” “us,” or “our”), a company established in Hong Kong SAR. These Terms and Conditions (“Terms”) govern your access to and use of the Platform and the services offered through it by Huntarmpeople Limited or third-party providers (“Vendors”) (collectively, the “Services”). The terms “you” and “your” as used herein refer to (1) any person accessing the Platform and (2) any person purchasing Services through you.
1.2 By accessing or using the Platform or any Services, you signify your agreement to be bound by these Terms and our Privacy Policy (available at [Link to Your Privacy Policy – YOU MUST INSERT THIS LINK]), which is incorporated herein by reference. If you do not agree to these Terms, you must not use or access the Platform or the Services. You affirm that you are of legal age to enter into this agreement in your jurisdiction, or, if you are not, that you have obtained parental or guardian consent to enter into this agreement.
2. Changes to Terms
2.1 Revisions by BookMyCoffeeChat:
2.1.1 We reserve the right, at our sole discretion, to modify or update these Terms at any time without prior notice. You should periodically review the most current version of these Terms for any changes. If we modify or update these Terms, we will post the changes on this page and indicate at the bottom of this page the date these Terms were last revised.
2.1.2 Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms. If you do not agree to any of these terms or any future Terms, do not use or access (or continue to access) the Platform or the Services. It is your responsibility to regularly check the Platform to determine if there have been changes to these Terms.
2.1.3 In addition, when using certain Services, you shall be subject to any additional terms applicable to such Services that may be posted on the Platform from time to time, as well as our Privacy Policy. All such terms are hereby expressly incorporated by reference into these Terms.
3. Access and Use of the Services
3.1 Content Ownership:
3.1.1 The Platform, the domain name (bookmycoffeechat.com), subdomains, features, functionality, and content or services related thereto provided by BookMyCoffeeChat from time to time are owned and operated by BookMyCoffeeChat.
3.2 Access to Services:
3.2.1 Subject to these Terms, BookMyCoffeeChat may offer to provide the Services, as described more fully on the Platform, and which are selected by you, solely for your own use, and not for the use or benefit of any third party. The term “Services” includes, without limitation, use of the Platform, and any service BookMyCoffeeChat performs for you or on behalf of Vendors through the Platform. We may change, suspend or discontinue the Services at any time, including the availability of any feature, database, or content. We may also impose limits on certain Services or restrict your access to parts or all of the Services without notice or liability.
3.2.2 BookMyCoffeeChat does not guarantee that the Services will always be available or be uninterrupted. BookMyCoffeeChat will not be liable to you if for any reason the Services are unavailable at any time or for any period. You are responsible for making all arrangements necessary for you to have access to the Services. You are also responsible for ensuring that all persons who access the Services through your internet connection are aware of these Terms and other applicable terms and conditions for the Services, and that they comply with them.
3.2.3 When you link to the Platform, BookMyCoffeeChat may, in its sole discretion, revoke your right to link to the Platform at any time. BookMyCoffeeChat reserves the right to require prior written consent before linking to the Platform.
4. The Platform and Content
4.1 Use of Content:
4.1.1 All materials displayed or performed on the Platform, including, but not limited to text, data, graphics, articles, photographs, images, illustrations, video, audio, and other materials (“Content”) are protected by copyright and/or other intellectual property rights. The Platform and all Content are intended solely for your personal, non-commercial use of the Services and may only be used in accordance with these Terms.
4.1.2 If we grant you access to the Platform and/or Content, such access shall be non-exclusive, non-transferable, and solely for the purpose of accessing the Services in accordance with these Terms. We may, at our absolute discretion and at any time, without prior notice to you, remove or alter the presentation, substance, or functionality of any part or all of the Content from the Platform.
4.1.3 You shall abide by all copyright notices, trademark rules, information, and restrictions contained in any Content accessed through the Platform, and shall not use, copy, reproduce, modify, translate, publish, broadcast, transmit, distribute, perform, upload, display, license, sell or otherwise exploit for any purposes whatsoever any Content or third party submissions or other proprietary rights not owned by you: (i) without the express prior written consent of the respective owners, and (ii) in any way that violates any third party right.
4.2 BookMyCoffeeChat’s Liability for the Platform and Content:
4.2.1 BookMyCoffeeChat cannot guarantee the identity of any other users with whom you may interact in the course of using the Platform. BookMyCoffeeChat cannot guarantee the authenticity or accuracy of any content, materials or information which other users or Vendors may provide. All Content you access by using the Platform is at your own risk and you will be solely responsible for any damage or loss to any party resulting therefrom. BookMyCoffeeChat does not formally verify or endorse Vendors beyond the information they provide on their profiles and their activity on the Platform. Users are encouraged to exercise their own judgment and due diligence, including reviewing Vendor profiles, past reviews, and any linked social media, before booking a Coffee Chat.
4.2.2 Under no circumstances will BookMyCoffeeChat be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or any loss or damage of any kind incurred in connection with use of or exposure to any Content posted, emailed, accessed, transmitted, or otherwise made available via the Platform.
4.3 Search Ranking:
4.3.1 BookMyCoffeeChat may provide sorting and filtering settings to allow search results to match your preferences, based on criteria such as availability, price recommendations, service popularity, service reviews, or other criteria. BookMyCoffeeChat continuously improves the Platform to provide you with the best experience and may test different default ranking algorithms from time to time.
5. Intellectual Property Rights
5.1 Intellectual Property:
5.1.1 All intellectual property rights in and to the Platform are owned by BookMyCoffeeChat or have been licensed to BookMyCoffeeChat for use on the Platform. The Platform, Services, and Content are protected by copyright and other intellectual property laws as collective works and/or compilations, pursuant to applicable copyright laws, international conventions, and other intellectual property laws. You undertake that: (a) you shall not modify, publish, transmit, participate in the transfer or sale of, reproduce, create derivative works based on, distribute, perform, display, or in any way exploit, any of the Content, software, materials, or Services in whole or in part; (b) you shall only download or copy the Content (and other items displayed on the Platform or related to the Services) for personal, non-commercial use only, provided that you maintain all copyright and other notices contained in such Content; and (c) you shall not store any significant portion of any Content in any form. Copying or storing of any Content other than for personal, non-commercial use is expressly prohibited without prior written permission from BookMyCoffeeChat or from the copyright holder identified in such Content’s copyright notice.
6. User Submissions
6.1 Uploading Information:
6.1.1 In the course of accessing the Platform or using the Services, information you provide may be used by BookMyCoffeeChat and/or other Vendors in connection with the Services, and may be visible to other users of the Platform. When you post information or content on the Platform, or otherwise provide content, materials or information (collectively, “User Submissions”) to BookMyCoffeeChat and/or other Vendors in connection with the Services, you hereby grant BookMyCoffeeChat and other Vendors a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable and transferable right to use, in whole or in part, such User Submissions (including all related intellectual property rights) in connection with providing the Services and operating the Platform and BookMyCoffeeChat’s business, including without limitation for promoting and redistributing part or all of the Services (and derivative works thereof) in any media formats and through any media channels. With your explicit permission, BookMyCoffeeChat may also use certain User Submissions for marketing and promotional purposes for the Platform. You also (b) agree and authorize BookMyCoffeeChat to use your personal data in accordance with the Privacy Policy in effect from time to time; (c) hereby grant each user of the Platform a non-exclusive license to access your User Submissions through the Platform, and to use, modify, reproduce, distribute, prepare derivative works of, display and perform such User Submissions as permitted through the functionality of the Platform and under these Terms; (d) acknowledge and agree that BookMyCoffeeChat has the right to reformat, modify, create derivative works of, excerpt, and translate any User Submissions submitted by you. For clarity, the foregoing license grant to BookMyCoffeeChat does not affect your ownership of or right to grant additional non-exclusive licenses to the material in your User Submissions, unless otherwise agreed in writing; (e) represent and warrant that any User Content submitted by you (including but not limited to: text, images, and photos) does not infringe or violate any existing laws, regulations or third party rights; and (f) you shall be solely responsible for all User Submissions that you publicly post or privately transmit on or through the Platform, and BookMyCoffeeChat shall not be liable for any errors or omissions in any content.
7. User Representations, Warranties, and Undertakings
7.1 Use of Platform and Services: You represent, warrant and undertake to BookMyCoffeeChat that you will not provide any User Submissions or otherwise use the Platform or the Services in a manner that (a) infringes or violates the intellectual property rights or proprietary rights, rights of publicity or privacy, or other rights of any third party; (b) violates any law, statute, ordinance or regulation; (c) is harmful, fraudulent, deceptive, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, discriminatory, promotes hate speech, or is otherwise objectionable; (d) involves commercial activities and/or sales without BookMyCoffeeChat’s prior written consent such as contests, sweepstakes, barter, advertising, or pyramid schemes (unrelated to legitimate Vendor services); (e) libels, impersonates or misrepresents any person or entity, including without limitation any employee or representative of BookMyCoffeeChat, or misrepresents your identity, qualifications, or expertise; (f) contains a virus, trojan horse, worm, time bomb, or other harmful computer code, file, or program; (g) involves recording any Coffee Chat or portion thereof without the explicit prior consent of all participating parties; (h) involves sharing or disclosing confidential information obtained during a Coffee Chat without the explicit authorization of the disclosing party; (i) facilitates or promotes any illegal activity.
7.2 Removal of User Submissions:
7.2.1 BookMyCoffeeChat reserves the right to remove any User Submission from the Platform at any time, for any reason (including, but not limited to, upon receipt of claims or allegations from third parties or authorities relating to such User Submission or if BookMyCoffeeChat is concerned that you may have breached any preceding representation, warranty or undertaking), or for no reason at all.
7.3 Responsibility for User Submissions:
7.3.1 You are solely responsible for all User Submissions that you upload, post, email, transmit, or otherwise disseminate using, or in connection with, the Platform.
7.3.2 You hereby acknowledge and agree that you shall be solely responsible for your own User Submissions and the consequences of posting or publishing them on the Platform. You represent, warrant and undertake to BookMyCoffeeChat that (a) you own or have the necessary rights, licenses, consents, releases and/or permissions to use and authorize BookMyCoffeeChat to use all copyrights, trademarks or other proprietary or intellectual property rights in and to any User Submission to enable inclusion and use thereof on the Platform and in accordance with these Terms; and (b) the User Submissions and your posting, uploading, publication, submission or transmittal of them, or BookMyCoffeeChat’s use of the User Submissions (or any portion thereof) on, through or by means of the Platform or the Services will not infringe, misappropriate or violate any third party’s patent, copyright, trademark, trade secret, moral rights or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.
7.3.3 You are responsible for all of your activity in connection with the Platform and/or Services. You further represent, warrant and undertake to BookMyCoffeeChat that you shall not (a) conduct any fraudulent, abusive, or otherwise illegal activity which may be grounds for termination of your right to access or use the Platform and/or Services; or (b) sell or resell any products, services or reservations obtained from or via the Platform; (c) use the Platform for commercial or competitive activity or purposes, or for the purpose of making speculative, false or fraudulent bookings or any booking in anticipation of demand; or (d) post or transmit, or cause to be posted or transmitted, any communication or solicitation designed or intended to obtain password, account, or private information from any other user of the Platform; or (e) violate the security of any computer network, crack passwords or security encryption codes, transfer or store illegal material (including material that may be considered threatening or obscene), or engage in any kind of illegal activity that is expressly prohibited; (f) run Maillist, Listserv, any form of auto-responder, or “spam” on the Platform, or any processes that run or are activated while you are not logged on to the Platform, or that otherwise interfere with the proper working of or place an unreasonable load on the Platform’s infrastructure; or (g) use manual or automated software, devices, or other processes to “crawl,” “scrape,” or “spider” any page of the Platform; or (h) decompile, reverse engineer, or otherwise attempt to obtain the source code of the Platform.
7.3.4 You will be responsible for withholding, filing, and reporting all taxes, duties and other governmental assessments associated with your activity in connection with the Platform and/or Services.
8. Account Registration and Security
8.1 Opening a BookMyCoffeeChat Account:
8.1.1 In the course of using the Services, you may be required to open and maintain an account with BookMyCoffeeChat (“BookMyCoffeeChat Account”).
8.2 Provision of Personal Information:
8.2.1 As a condition to using some aspects of the Services, you may be required to register with BookMyCoffeeChat and select a password and user name (“BookMyCoffeeChat User ID”). If you are accessing the Services through a third party website or service, BookMyCoffeeChat may require that your BookMyCoffeeChat User ID be the same as your user name for such third party website or service.
8.2.2 You shall provide BookMyCoffeeChat with accurate, complete, and updated registration information. Failure to do so shall constitute a breach of these Terms, which may result in immediate termination of your BookMyCoffeeChat Account.
8.2.3 You represent that you shall not: (a) select or use as a BookMyCoffeeChat User ID a name of another person with the intent to impersonate that person; or (b) use as a BookMyCoffeeChat User ID a name subject to any rights of a person other than you without appropriate authorization.
8.2.4 BookMyCoffeeChat reserves the right to refuse registration of or cancel a BookMyCoffeeChat Account in its sole discretion. You shall be responsible for maintaining the confidentiality of your password.
8.2.5 Eligibility: While BookMyCoffeeChat does not impose a specific minimum age for use, by using the Platform, you affirm that you are of legal age to enter into binding contracts in your jurisdiction. If you are not of legal age in your jurisdiction, you affirm that you have obtained consent from your parent or legal guardian to use the Platform and agree to these Terms, and that your parent or legal guardian has read and agreed to these Terms on your behalf. BookMyCoffeeChat reserves the right to request proof of such consent.
9. Reviews and User Content Rights
9.1 Submitting Reviews: To complete a booking, you may agree to receive booking confirmation notifications (email and/or in-app) and an invitation to complete a review of the Coffee Chat after its completion. Completion of a review is optional. Confirmation notifications and review invitations are part of the booking process and are not marketing communications. Completed reviews may be uploaded to the relevant Vendor’s profile page on the Platform to inform other (future) Users of your opinion of the service (level) and quality. BookMyCoffeeChat does not currently offer incentives for submitting reviews but reserves the right to do so in the future under specific terms.
9.2 Rights to User Content: By posting a review or other User Submission, you grant BookMyCoffeeChat full, perpetual, free, transferable, and irrevocable rights to all User Content. BookMyCoffeeChat reserves the right in its sole discretion to edit, adjust, refuse, or remove User Content.
9.3 Review Conduct: You confirm you will comply with any user review guidelines and represent and warrant that:
9.3.1 You own and control all of the rights to the User Content that you post or otherwise distribute, or you otherwise have the lawful right to post and distribute such User Content to or through the Platform;
9.3.2 Such content is accurate and not misleading; and
9.3.3 Use and posting or other transmission of such content does not violate these Terms or any applicable laws and regulations and will not violate any rights of or cause injury to any person or entity.
9.4 Reviews may not contain obscene, profane, disrespectful content, threats, or abusive language, advocate illegal activities, or contain personal information of others (names, phone numbers, email addresses), or irrelevant content such as promotional messages, invitations, or reward information. Furthermore, reviews may not contain defamatory, offensive, or content that violates other legal rights.
9.5 You further grant BookMyCoffeeChat the right to pursue at law any person or entity that violates your or BookMyCoffeeChat’s rights in the User Content by a breach of these Terms. You agree you will be solely responsible for any User Content you provide.
9.6 Content submitted by users will be considered non-confidential and BookMyCoffeeChat is under no obligation to treat such content as proprietary information. Without limiting the foregoing, BookMyCoffeeChat reserves the right to use the content as it deems appropriate, including, without limitation, deleting, editing, modifying, rejecting, or refusing to post it. BookMyCoffeeChat is under no obligation to offer you any payment for content that you submit or the opportunity to edit, delete or otherwise modify content once it has been submitted to BookMyCoffeeChat. BookMyCoffeeChat shall have no duty to attribute authorship of content to you, and shall not be obligated to enforce any form of attribution by third parties.
10. Bookings, Fees, and Payments
10.1 Booking Confirmation & Pending Bookings:
10.1.1 Some specified Coffee Chats or Services may offer instant confirmation. Other than such Services, any confirmation times stated on the Platform are for reference only. Actual required confirmation times may vary.
10.1.2 Any booking that remains pending due to non-payment by the User for a period of seventy-two (72) days from the initial booking attempt may be automatically cancelled by BookMyCoffeeChat.
10.2 Booking Process (for Users):
10.2.1 Through the Platform, you can book Coffee Chats offered by Vendors. You will receive an email confirming your booking, which will include necessary details.
10.2.2 To redeem your booked Coffee Chat, you must adhere to the Vendor’s specified process and agreed time (if applicable for a scheduled call/meeting), and provide any required information (e.g., confirmation details). Failure to do so may result in forfeiture of the Coffee Chat without refund.
10.3 Terms of Coffee Chats:
10.3.1 The terms for each Coffee Chat may vary by Vendor and will be stated on the Platform at the time of booking.
10.4 Cancellations & Refunds:
10.4.1 User Cancellations (for Paid Bookings):
* (a) If a User cancels a paid and confirmed Coffee Chat more than twenty-four (24) hours before the scheduled start time of the Coffee Chat, the User will receive a full refund of the amount paid, less a five percent (5%) administrative fee retained by BookMyCoffeeChat.
* (b) If a User cancels a paid and confirmed Coffee Chat within twenty-four (24) hours of the scheduled start time of the Coffee Chat, the User will not be eligible for a refund, and the full amount paid will be forfeited.
10.4.2 Vendor Cancellations (for Paid Bookings):
* If a Vendor cancels a paid and confirmed Coffee Chat at any time, the User who booked the Coffee Chat will receive a full refund of the amount paid.
* In the event of a Vendor cancellation, BookMyCoffeeChat will charge the cancelling Vendor an administrative fee equivalent to five percent (5%) of the cancelled Coffee Chat’s original price. This fee may be deducted from the Vendor’s current earnings balance or future payouts. BookMyCoffeeChat reserves the right to take further action, including suspension or termination of the Vendor’s account, for repeated cancellations.
10.4.3 Processing Refunds: Refunds, where applicable, will be processed back to the User’s original payment method within seven to fourteen (7-14) business days, depending on the payment processor and banking institutions involved.
10.5 Dispute Resolution for Coffee Chats:
10.5.1 In the event of a dispute between a User and a Vendor regarding a booked Coffee Chat, including but not limited to issues of service quality, cancellations (not covered explicitly by the refund policy above), or conduct during the Coffee Chat, either party may request BookMyCoffeeChat’s assistance.
10.5.2 BookMyCoffeeChat will, upon request and where deemed appropriate, offer to mediate the dispute in good faith. This may involve reviewing communication, booking details, and any evidence provided by both parties.
10.5.3 BookMyCoffeeChat’s role in mediation is to facilitate a resolution. BookMyCoffeeChat may suggest a resolution, but any final agreement between the User and Vendor is voluntary. BookMyCoffeeChat is not obligated to provide monetary compensation from its own funds to resolve disputes, beyond the refund policies stated herein.
10.5.4 If a resolution cannot be reached through mediation, Users and Vendors may pursue other legal remedies available to them independently. BookMyCoffeeChat’s decision or suggestion during mediation is not legally binding unless explicitly agreed to by both parties in a separate written agreement.
10.5.5 To request dispute mediation, please contact BookMyCoffeeChat customer support at info@bookmycoffeechat.com with all relevant details.
10.6 Fees and Payments (for Users):
10.6.1 Users agree to pay the fees for Coffee Chats as specified by the Vendor on the Platform at the time of booking.
10.6.2 Payment Processing: All payments made by Users for Coffee Chats will be processed through Stripe. By making a payment, you agree to be bound by Stripe’s terms and conditions. Huntarmpeople Limited (operating as BookMyCoffeeChat) will be responsible for the transaction fees charged by Stripe for processing User payments; these fees will not be passed on directly to the User as an additional charge at the point of payment beyond the listed Coffee Chat price.
10.7 Vendor Earnings and Payouts:
10.7.1 No Commission on Bookings (Current Policy): BookMyCoffeeChat does not currently charge Vendors a commission on the value of Coffee Chats booked through the Platform.
10.7.2 Withdrawal Administrative Fee: When a Vendor requests to withdraw their accumulated earnings from the Platform, an administrative fee of 5% (five percent) of the withdrawal amount will be deducted. This fee covers payment processing and administrative costs.
10.7.3 Future Fee Changes: BookMyCoffeeChat reserves the right to change the administrative fee percentage or introduce other fees (including commissions on bookings) in the future. Vendors will be provided with reasonable prior notice of any such changes.
10.7.4 Payout Schedule & Method: Vendors may request a payout of their earnings once their balance reaches a minimum of HKD 1000.00. Payouts will be processed via direct bank transfer to the Vendor’s nominated bank account (initially, other methods may be added later). Payouts will be processed within seven (7) business days of a valid request, assuming all necessary and accurate bank details have been provided by the Vendor. Vendors are responsible for any fees charged by their own bank for receiving funds.
10.7.5 Subscription Plans (Future Offering):
* BookMyCoffeeChat plans to introduce monthly or annual subscription plans for Vendors in the future, which may offer additional features, visibility, or benefits.
* Currently Free: At present, all Vendor plans and access to list services on the Platform are provided free of charge (excluding the withdrawal administrative fee).
* Vendors will be notified in advance of the introduction of any paid subscription plans, their features, pricing, and associated terms.
10.8 BookMyCoffeeChat’s Rights Regarding Fees & Bookings:
10.8.1 BookMyCoffeeChat reserves the right, in its sole discretion, to refuse or cancel any booking that may violate these Terms.
10.8.2 While Vendors are required to provide accurate and up-to-date pricing for their Coffee Chats, BookMyCoffeeChat cannot guarantee the accuracy of all service descriptions or pricing at all times.
11. Discounts & Promotions
11.1 BookMyCoffeeChat does not currently operate a system of promotional codes, discounts, or loyalty points.
11.2 Should BookMyCoffeeChat introduce any such promotions in the future, they will be subject to specific terms and conditions made available at that time.
12. Privacy Policy
12.1 For BookMyCoffeeChat’s policies relating to the use of your personal data, please review BookMyCoffeeChat’s current Privacy Policy at [Link to Your Privacy Policy – YOU MUST INSERT THIS LINK], which is incorporated by reference into these Terms. Your acceptance of these Terms constitutes your acceptance and agreement to be bound by BookMyCoffeeChat’s Privacy Policy.
13. Indemnity
13.1 You shall defend, indemnify, and hold harmless BookMyCoffeeChat, its holding companies, subsidiaries, affiliates, officers, directors, and employees from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to all loss, liabilities, settlements, costs and attorneys’ fees) arising from or in connection with: (a) your access to and use of the Platform; (b) your violation of any term of these Terms; (c) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (d) any claim that your User Submissions caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the Platform.
13.2 BookMyCoffeeChat reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will assist and cooperate with BookMyCoffeeChat in asserting any available defenses. You shall not, in any event, settle any claim or matter without the prior written consent of BookMyCoffeeChat if such settlement may adversely affect BookMyCoffeeChat’s rights or obligations.
14. Disclaimer and Limitation of Liability
14.1 Relationship: BookMyCoffeeChat has no special relationship with or fiduciary duty to you for accessing and using the Platform and the Content. You acknowledge that BookMyCoffeeChat has no control over, and no duty to take any action regarding: (a) which users gain access to the Platform; (b) what Content you access via the Platform; (c) what effects the Content may have on you; (d) how you may interpret or use the Content; or (e) what actions you may take as a result of having been exposed to the Content.
14.2 Services and Descriptions: You acknowledge and agree that Coffee Chats or Services on the Platform may be provided by Vendors or third parties, and that suggestions or recommendations may be made by Vendors or users of the Platform. BookMyCoffeeChat makes no representations or warranties regarding the accuracy of descriptions of Services, or the appropriateness of any suggestions or recommendations for Services offered or purchased through the Platform.
14.3 Liability Exclusion: IN NO EVENT SHALL BOOKMYCOFFEECHAT, ITS SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS AND/OR EMPLOYEES BE LIABLE FOR ANY LOST PROFITS OR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES ARISING OUT OF, BASED ON, OR RESULTING FROM: (A) THE PLATFORM; (B) THESE TERMS; (C) ANY BREACH OF THESE TERMS BY YOU OR A THIRD PARTY; OR (D) ANY INTERACTION OR TRANSACTION BETWEEN USERS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THESE LIMITATIONS AND EXCLUSIONS APPLY WITHOUT REGARD TO WHETHER THE DAMAGES ARISE FROM (A) BREACH OF CONTRACT; (B) BREACH OF WARRANTY; (C) STRICT LIABILITY; (D) TORT; (E) NEGLIGENCE; OR (F) ANY OTHER CAUSE OF ACTION, TO THE MAXIMUM EXTENT SUCH EXCLUSION AND LIMITATIONS ARE NOT PROHIBITED BY APPLICABLE LAW.
14.3.1 ALL CONTENT, SOFTWARE, FUNCTIONS, AND INFORMATION ACCESSED THROUGH THE PLATFORM ARE PROVIDED “AS IS.” TO THE FULLEST EXTENT PERMISSIBLE BY LAW, BOOKMYCOFFEECHAT MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND WHATSOEVER, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION FOR THE CONTENT ON THE PLATFORM, SOFTWARE, DATA ACCESSED THROUGH THE PLATFORM, INFORMATION, FUNCTIONS, PRODUCTS, SERVICES OR HYPERLINKS TO THIRD PARTIES OR FOR ANY BREACH OF SECURITY ASSOCIATED WITH THE TRANSMISSION OF SENSITIVE INFORMATION THROUGH THE PLATFORM OR ANY LINKED SITE, OR FOR NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR ACCURACY. BOOKMYCOFFEECHAT DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE PLATFORM OR ANY MATERIALS OR CONTENT CONTAINED THEREIN WILL BE UNINTERRUPTED OR ERROR-FREE.
14.3.2 YOU ACKNOWLEDGE AND AGREE THAT ANY TRANSMISSION TO AND FROM THE PLATFORM IS NOT CONFIDENTIAL AND YOUR COMMUNICATIONS MAY BE READ OR INTERCEPTED BY OTHERS. YOU FURTHER ACKNOWLEDGE AND AGREE THAT BY SUBMITTING COMMUNICATIONS TO US AND BY POSTING INFORMATION ON THE PLATFORM, INCLUDING COFFEE CHAT LISTINGS AND/OR ACTIVITIES, NO CONFIDENTIAL, FIDUCIARY, CONTRACTUALLY IMPLIED OR OTHER RELATIONSHIP IS CREATED BETWEEN YOU AND US OTHER THAN PURSUANT TO THESE TERMS.
14.3.3 YOU ACKNOWLEDGE AND AGREE THAT YOU WILL NOT HOLD OR SEEK TO HOLD US RESPONSIBLE FOR THE CONTENT PROVIDED BY ANY VENDOR OR THIRD PARTY AND YOU FURTHER ACKNOWLEDGE AND AGREE THAT WE ARE NOT A PARTY TO ANY TRANSACTION RELATED TO SERVICES PROVIDED BY ANY VENDOR OR THIRD PARTY. WE HAVE NO CONTROL OVER AND DO NOT GUARANTEE THE SAFETY OF ANY TRANSACTION, COFFEE CHAT AND/OR ACTIVITY OR THE TRUTH OR ACCURACY OF ANY LISTING OR OTHER CONTENT PROVIDED BY ANY VENDOR OR THIRD PARTY ON THE PLATFORM.
14.4 Remedy: IF YOU ARE DISSATISFIED WITH THE PLATFORM, DO NOT AGREE WITH ANY PART OF THESE TERMS, OR HAVE ANY OTHER DISPUTE OR CLAIM WITH OR AGAINST US OR ANOTHER USER OF THE PLATFORM WITH RESPECT TO THESE TERMS OR THE PLATFORM, THEN YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE PLATFORM.
14.4.1 IN ANY EVENT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR LIABILITY, AND THE LIABILITY OF ANY MEMBER OF BOOKMYCOFFEECHAT, TO YOU OR ANY THIRD PARTY IN ANY CIRCUMSTANCE ARISING OUT OF OR IN CONNECTION WITH THE PLATFORM IS LIMITED TO THE GREATER OF: (A) THE AMOUNT OF FEES YOU PAID TO US (IF ANY) IN THE TWELVE MONTHS PRIOR TO THE ACTION GIVING RISE TO LIABILITY; OR (B) HKD 500.00 IN THE AGGREGATE FOR ALL CLAIMS.

15.1 Links to Third-Party Websites: The Platform may contain links to third-party websites or services (“Third-Party Websites”) that are not owned or controlled by BookMyCoffeeChat. The inclusion of any link to a Third-Party Website on the Platform does not imply an endorsement or recommendation by BookMyCoffeeChat of such Third-Party Website or the information, products, advertising or other materials available on or through such Third-Party Website.
15.1.1 When you access Third-Party Websites, you do so at your own risk. You hereby represent and warrant that you have read and agree to be bound by all applicable policies of any Third-Party Websites relating to your use of their services and that you will act in accordance with those policies, in addition to your obligations under these Terms.
15.1.2 BookMyCoffeeChat has no control over, and assumes no responsibility for, the content, accuracy, privacy policies, or practices of, or opinions expressed in any Third-Party Websites. In addition, BookMyCoffeeChat will not and cannot monitor, verify, censor or edit the content of any Third-Party Website. By using the Services, you expressly relieve and hold harmless BookMyCoffeeChat from any and all liability arising from your use of any Third-Party Website.
15.1.3 Your interactions with organizations and/or individuals found on or through the Services, including payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such organizations and/or individuals.
15.1.4 You should make whatever investigation you feel necessary or appropriate before proceeding with any online or offline transaction with any of these third parties.
15.2 BookMyCoffeeChat’s Responsibility: You agree that BookMyCoffeeChat shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings. If there is a dispute between participants on this site, or between users and any third party, you understand and agree that BookMyCoffeeChat is under no obligation to become involved (beyond the dispute mediation offered in Section 10.5). In the event that you have a dispute with one or more other users or third parties, you hereby release BookMyCoffeeChat, its holding companies, subsidiaries, officers, directors, employees, agents, and successors in rights from claims, demands, and damages (actual and consequential) of every kind or nature, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to such disputes.
16. Payment Responsibility for Transactions
16.1 All transactions for Services booked through the Platform are processed by Huntarmpeople Limited or its designated payment processors. Huntarmpeople Limited is the entity responsible for transactions conducted on the Platform.
17. Termination
17.1 Termination by BookMyCoffeeChat: These Terms shall remain in full force and effect while you use the Platform or Services. BookMyCoffeeChat may terminate or suspend your access to the Services or your membership at any time, for any reason, and without warning, which may result in the forfeiture and destruction of all information associated with your membership. BookMyCoffeeChat may also terminate or suspend any and all Services and access to the Platform immediately, without prior notice or liability, if you breach any of the terms or conditions of these Terms.
17.2 Effect of Termination: Upon termination of your account, your right to use the Services, access the Platform, and any Content will immediately cease. All provisions of these Terms which, by their nature, should survive termination, shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, and limitations of liability.
17.2.1 If these Terms are terminated as a result of your breach, BookMyCoffeeChat reserves the right to cancel any outstanding bookings for Coffee Chats you may have purchased prior to said termination, without refund or liability to you.
17.2.2 Vendors with outstanding earnings at the time of termination due to a breach may forfeit such earnings, at BookMyCoffeeChat’s discretion. For non-breach terminations, procedures for final payout of eligible earnings (less applicable withdrawal fees) will be communicated.
18. Governing Law
18.1 These Terms shall be governed by and construed in accordance with the laws of Hong Kong Special Administrative Region. You agree to submit to the non-exclusive jurisdiction of the courts of Hong Kong Special Administrative Region.
19. Miscellaneous
19.1 Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.
19.2 Assignment: You may not assign, transfer or sublicense these Terms except with BookMyCoffeeChat’s prior written consent. BookMyCoffeeChat may transfer, assign or delegate these Terms and its rights and obligations without your consent.
19.3 Language: These Terms and Conditions are drafted in English. Any translation into another language is provided for convenience only. In the event of any discrepancy between the English version and any translated version, the English version shall prevail.
19.4 Company Information: Huntarmpeople Limited is a limited liability company established under the laws of Hong Kong Special Administrative Region.
